Basically that Anderson hasn't paid them the £5m loan that ED loaned him, so they take control of Anderson's shares and deal with sale themselves.

It means they want paying and if Anderson doesn't cough up there's an agreement which implies they are given Anderson's shares for defaulting on the loan they gave him. If they get Anderson's shares, they will be the ones who do the deal with the potential buyers, not Anderson.
